Terms & Conditions
These Terms & Conditions ("Terms") govern the software engineering and consulting services ("Services") provided by Dee Miller ("I", "me", "my"), based in Dallas, Texas, to any client ("you", "Client") who engages those Services. By requesting a quote, booking a call, or commissioning work, you agree to these Terms.
1. Services
I provide software engineering and related services, which may include scalable systems design, cloud architecture, full-stack development, security audits, compliance reviews, and digital publishing solutions. The specific scope of any engagement will be defined in a written proposal, package description, or statement of work agreed between us.
2. Quotes, Packages & Pricing
Pricing is set out in the package tiers published on this site or in a custom quote provided to you. Published prices are starting points and may be adjusted based on the final agreed scope. A quote is valid for 30 days unless stated otherwise. Prices are in U.S. dollars and exclusive of any applicable taxes or third-party fees.
3. Payment Terms
- A deposit (typically 50% of the project total) is due before work begins.
- The remaining balance is due on completion, prior to final delivery or deployment.
- Retainer and ongoing engagements are billed in advance on a recurring basis.
- Invoices are payable within 7 days unless otherwise agreed in writing.
- Late payments may pause work and may incur a reasonable late fee.
4. Project Scope & Revisions
Each package includes the deliverables and revision rounds described in its scope. Work requested beyond the agreed scope ("scope changes") will be quoted separately and may affect the timeline and cost. I will always confirm additional charges with you before proceeding.
5. Client Responsibilities
To keep the project on track, you agree to provide timely access to content, credentials, feedback, and approvals reasonably required to deliver the Services. Delays in providing these may extend agreed timelines.
6. Timelines
Estimated timelines are provided in good faith but are not guaranteed and may be affected by scope changes, delayed feedback, or factors outside my reasonable control. I will communicate promptly if a timeline needs to change.
7. Intellectual Property
Upon receipt of full payment, ownership of the final, custom deliverables created specifically for you transfers to you. I retain ownership of any pre-existing tools, libraries, frameworks, and general know-how used to produce the work, and I may showcase non-confidential aspects of the work in my portfolio unless we agree otherwise in writing.
8. Confidentiality
I will treat non-public information you share in connection with a project as confidential and will not disclose it to third parties except as needed to deliver the Services or as required by law.
9. Third-Party Services
Projects may rely on third-party platforms, hosting, APIs, or licenses (for example, cloud providers or payment processors). You are responsible for any fees charged by those third parties, and their own terms and availability apply.
10. Warranties & Liability
Services are provided with reasonable skill and care. Except as expressly stated, the Services are provided "as is" without further warranties. To the maximum extent permitted by law, my total liability arising from an engagement is limited to the fees you paid for that engagement, and I am not liable for indirect, incidental, or consequential damages.
11. Cancellation & Refunds
Either party may end an engagement with written notice. If you cancel, you remain responsible for payment for all work completed up to the cancellation date. Deposits cover work already scheduled and reserved and are generally non-refundable.
12. Governing Law
These Terms are governed by the laws of the State of Texas, USA, without regard to its conflict-of-laws rules. Any disputes will be subject to the courts located in Texas.
13. Changes to These Terms
I may update these Terms from time to time. The version in effect at the start of your engagement applies to that engagement. The latest version is always published on this page.
